Terms of Use

Welcome to NEDCO Pay, a mobile application owned and operated by Broadspectrum Digital Payments Ltd (“BDP“) . By using the App, you agree to be bound by these Terms of Use (“Terms“).

1. Use of App

You may use the App only for lawful purposes and in accordance with these Terms. You agree not to use the App:

• In any way that violates any applicable Ghanaian or International Laws or Regulation.
• To impersonate or attempt to impersonate Broadspectrum Digital Payment(BDP), a BDP employee, another user, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone‘s use or enjoyment of the App, or which, as determined by BDP, may harm BDP or users of the App or expose them to liability.

2. Intellectual Property

The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by BDP, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the App for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our App, except as follows:

• Your device may temporarily store copies of such materials in RAM incidental to your accessing and viewing of those materials.
• You may store files that are automatically cached by your Web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the App for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

3. User Content

The App may allow you to submit content such as comments, reviews, ratings, and other materials (“User Content“). By submitting User Content, you grant BDP a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.

You represent and warrant that:

• You own or control all rights in and to the User Content and have the right to grant the license granted above to BDP and its affiliates and service providers, and each of their and our respective licenses, successors, and assigns.
• All of your User Content do not and will not violate these Terms.

4. Disclaimer of Warranties

THE APP IS PROVIDED ON AN “AS IS“ AND “AS AVAILABLE“ BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. BDP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

5. Limitation of Liability

IN NO EVENT SHALL BDP, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE APP, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

6. Indemnification

You agree to defend, indemnify, and hold harmless BDP, its affiliates, licensors, and their respective directors, officers, employees, and agents from and against all claims, damages, losses, liabilities, expenses, and costs (including reasonable attorneys‘ fees) arising out of or in connection with:

• (i) your use of the App or any content or information obtained from the App;
• (ii) your violation of any term of this Agreement or any applicable law or regulation;
• (iii) your violation of any third-party right, including without limitation any intellectual property or privacy right; or
• (iv) any claim that your User Content caused damage to a third party.

You agree to cooperate with us in the defense of any such claim. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree not to settle any such matter without our prior written consent.
